Terms of Service
Effective January 1, 2026
These Terms of Service ("Terms") govern access to and use of the Vitalink platform, including our website, patient and provider applications, and related telehealth services (collectively, the "Platform"), operated by Vitalink, Inc. ("Vitalink," "we," "us"). By creating an account or otherwise using the Platform, you agree to be bound by these Terms.
1. Emergency Disclaimer
Vitalink is not an emergency service. If you are experiencing a medical emergency, call 911 (or your local emergency number) or go to the nearest emergency room immediately. Do not use the Platform to seek help for a medical emergency.
2. Who May Use the Platform
The Platform serves five categories of users: patients, independent clinicians, organization-affiliated clinicians, organization administrators, and Vitalink platform administrators. Each role is subject to the permissions and restrictions described in-app. You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account. Care for minors must be arranged through a parent or legal guardian's account.
3. Nature of the Service
Vitalink is a technology platform that connects patients with independent, licensed clinicians and healthcare organizations. Vitalink does not itself practice medicine, does not employ clinicians who use the Platform as independent providers, and is not a party to the clinician-patient relationship. Clinical judgment, diagnosis, and treatment decisions are made solely by the treating clinician.
4. Clinician Obligations
- Maintain a current, unrestricted license in each jurisdiction where care is provided.
- Practice within the applicable standard of care and scope of practice.
- Complete and accurately maintain clinical documentation for every encounter.
- Comply with all applicable telehealth, prescribing, and controlled-substance regulations.
- Promptly disclose any change in licensure, credentialing, or malpractice coverage status.
5. Scheduling, Fees, and Cancellations
Visit fees are displayed prior to booking. Payment is collected at the time of booking or check-in. Cancellations made more than 24 hours before a scheduled visit are eligible for a full refund; cancellations within 24 hours, or no-shows, may be charged a cancellation fee as disclosed at booking. Independent clinicians set their own fees; organizations may set fees at the organization level.
6. Prescriptions and Referrals
Any prescription, referral, or lab order issued through the Platform is issued at the sole discretion and professional judgment of the treating clinician. Vitalink does not guarantee that any clinician will issue a prescription, and controlled-substance prescribing via telehealth is subject to additional legal restrictions that may limit availability.
7. Acceptable Use
You agree not to:
- Impersonate another person or misrepresent your affiliation with any organization.
- Use the Platform to obtain medication or services through fraud or misrepresentation.
- Attempt to access accounts, data, or systems you are not authorized to access.
- Reverse-engineer, scrape, or interfere with the operation of the Platform.
- Record or distribute a telehealth visit without the consent of all participants.
8. Intellectual Property
The Platform, including its software, design, and content (excluding your own health information and user-submitted content), is owned by Vitalink and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose.
9. Disclaimers and Limitation of Liability
The Platform is provided "as is" without warranties of any kind. Vitalink is not liable for the clinical decisions, actions, or omissions of independent clinicians or organizations using the Platform. To the fullest extent permitted by law, Vitalink's aggregate liability arising from use of the Platform is limited to the amount you paid to Vitalink in the twelve months preceding the claim.
10. Termination
Either party may terminate an account at any time. Vitalink may suspend or terminate access immediately for violations of these Terms, suspected fraud, or risk to patient safety.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from these Terms will be resolved through binding individual arbitration, except where prohibited by law.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified in-app or by email at least 14 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance.
